These Terms & Conditions (the “Terms”) govern access to and use of the websites, products, and services of Dolside Group and its brands Dolside AI, Dolside Stay, and Dolside Services (collectively, “Dolside,” “we,” “us,” or “our”). By accessing or using any Dolside site or service, you agree to these Terms.
1. Definitions
“Client” means the legal entity or individual purchasing Services. “Consumer” means a natural person acting outside their trade or profession. “SOW/Order Form” means an agreed statement of work or order describing scope, deliverables, fees, and duration. “Services” means the services provided under the Dolside brands (AI agents/automations; short-term rental concierge; cleaning & facility services). “Client Content” means data, instructions, files, prompts, and information provided by Client. “Deliverables” means outputs provided by Dolside (e.g., reports, models, workflows, agents, photos, checklists). “Jurisdiction Annexes” means the regional provisions in Annex C.
2. Agreement Structure
These Terms, the SOW/Order Form, and any incorporated policies (including the Privacy Policy and DPA) form the entire agreement between the parties (the “Agreement”). In case of conflict: (i) SOW/Order Form prevails over (ii) these Terms, which prevail over (iii) referenced policies.
3. Eligibility and Accounts
You must be at least the age of majority in your location (18+ in most countries). You are responsible for all activities under your account and for safeguarding credentials. Dolside may perform identity, address, and property verifications where relevant.
4. Quotes, Orders, and Changes
Quotes are non-binding until accepted by Dolside in writing. Any change in scope or out-of-scope request requires a written change order and may adjust fees, timelines, or deliverables.
5. Term, Renewal, Termination
Unless otherwise stated, subscriptions are monthly and auto-renew. Either party may terminate (i) on written notice before the renewal date, (ii) for uncured material breach after 15 days’ notice, or (iii) for legitimate cause (e.g., insolvency, illegality). On termination, access is disabled, any amounts due become payable, and data return/transition is handled per Section 14.
6. Fees, Taxes, Currency, Billing
Fees are exclusive of taxes. Client is responsible for all applicable taxes (e.g., EU VAT, US sales/use tax, UAE VAT 5%, Singapore GST). For EU B2B, reverse charge may apply with a valid VAT number. EU B2C VAT follows the consumer’s country rules. Payments are processed through our payment processors (e.g., Stripe). All bank/FX costs are borne by Client. Late payments may incur statutory interest and collection costs (including minimum fixed recovery costs under French law).
7. Acceptable Use
You must not use the Services for unlawful activities, spam, security circumvention, unauthorized reverse engineering, or to create/propagate fraud, disinformation, or violence. You must not upload personal data without a valid legal basis or infringe third-party rights.
8. Dolside AI — Specific Terms
Data & Models. Unless expressly agreed otherwise, Dolside does not use Client Content to train public models. Processing is limited to providing and improving the contracted Services as described in the DPA. Reliability. AI systems may produce errors or “hallucinations.” Client remains solely responsible for validation and use of outputs. Outputs. Subject to law and third-party rights, outputs generated for Client are licensed or assigned to Client as stated in the SOW. Dolside retains all rights in its pre-existing tools, models, and methods. Integrations. Client obtains, configures, and pays for third-party tools (e.g., GoHighLevel, WhatsApp/Meta, Make/n8n, Telnyx, Slack/Discord, Shopify, Stripe, Calendly) and remains bound by their terms. Support/SLA. Unless a specific SLA is included in the SOW, Services are provided on a commercially reasonable (“best-efforts”) basis.
9. Dolside Stay — Specific Terms
Dolside acts as an agent/concierge for property owners and is not a party to rental agreements between owners and guests. Client remains responsible for regulatory compliance, insurance, permits/registrations (e.g., municipal registration, tourist taxes), and property safety. Channel and platform fees (e.g., Airbnb, Booking.com) follow their own terms. For damages/incidents, Dolside coordinates within the SOW; the owner remains responsible for repairs and deductibles except in case of proven Dolside fault.
10. Dolside Services (Cleaning & Facility) — Specific Terms
Access schedules, zones, and checklists are defined in the SOW. Photo/time-stamped reports are for reporting only. Client must secure/insure valuables. Liability for damage is limited per Section 13 unless caused by gross negligence or willful misconduct.
11. Intellectual Property
Dolside owns all rights in its software, templates, methods, and branding. Client owns Client Content and, subject to law and third-party rights, the outputs delivered to Client as stated in the SOW. Non-identifying feedback may be used to improve the Services.
12. Confidentiality and Data Protection
Each party will protect the other’s Confidential Information. Personal data processing is governed by the Data Processing Addendum (DPA) and our Privacy Policy. Dolside may engage sub-processors with equivalent protections (Art. 28 GDPR).
13. Warranties and Liability
Services are provided “as is” unless expressly warranted in writing. Dolside does not guarantee business results (e.g., occupancy, sales performance). To the maximum extent permitted by law, Dolside’s aggregate liability is capped at the lower of: (i) fees paid for the affected service in the three (3) months preceding the claim, or (ii) EUR 10,000 (or local currency equivalent). Dolside is not liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits, revenue, data, or goodwill. For Consumers, mandatory statutory rights prevail where applicable (see Annex C).
14. Data Return and Transition
Upon termination or on written request, Dolside will provide a reasonable export of Client data in a standard format within a reasonable timeframe. Custom export/instructions may incur reasonable fees.
15. Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including power/cloud outages, wars, strikes, regulatory acts, or natural disasters.
16. Compliance
You represent that you are not subject to sanctions and will not use the Services in violation of EU/US/UK/UAE export/sanctions laws. You will comply with anti-corruption rules (FCPA, UK Bribery Act) and cooperate on security matters.
17. Electronic Communications and e-Signature
You consent to receive communications electronically. Electronic signatures and click-through acceptance are equivalent to handwritten signatures.
18. Changes to the Terms
We may update these Terms at any time. Material changes will be notified through the Services or by email. Continued use after the effective date constitutes acceptance.
19. Governing Law and Dispute Resolution (Overview)
By default for international B2B engagements, the Agreement is governed by the laws of England and Wales, with the courts of London having non-exclusive jurisdiction, without prejudice to mandatory consumer protections. For regional variations (EU/France & UK, USA, UAE/Dubai, Asia—Singapore), see Annex C. Those provisions supplement or adjust this Section as required by local law.

Annex A — Service Descriptions (Examples)
A.1 Dolside AI. The SOW specifies environments (production/test), integrations (GoHighLevel, WhatsApp/Meta, Make/n8n, Telnyx, Slack/Discord, Shopify, Stripe, Calendly), validation responsibilities, logging, API/token limits, coverage windows (optional 24/7), escalation, and any RTO/RPO where applicable.
A.3 Dolside Services. The SOW defines site checklists, frequencies, supplies/consumables, hygiene protocols, photo/time stamping, quality tolerances, access hours, keys/badges/parking, and special waste handling.
Annex B — Data Processing Addendum (Operational Summary)
Roles. Client is Controller; Dolside is Processor (Art. 28 GDPR).
Purposes. Service provision, support, security, logging, billing.
Data Types. Contact details, content provided (messages, prompts, photos), logs; avoid sensitive data unless expressly agreed.
Transfers. International transfers rely on lawful mechanisms (SCCs, EU-US DPF where applicable).
Security. Encryption in transit, access controls, reasonable backups.
Incident Notice. Without undue delay; cooperation with Client.
Audit. On reasonable prior written notice, once per year, without unreasonably disrupting operations.
Retention. For the term of the Agreement plus legally required retention; deletion/return at closure.
A full DPA for signature can be appended to the SOW where required.
Annex C — Jurisdiction-Specific Terms
C-1. European Union & France
Consumer rights. For distance contracts, Consumers may have a 14-day withdrawal right under Directive 2011/83/EU and national laws, except where: (i) the service has been fully performed with your prior express consent and acknowledgement of losing the withdrawal right; or (ii) digital content not supplied on a tangible medium is provided with your prior express consent and acknowledgement of losing the withdrawal right. Mediation. Consumers in France may use consumer mediation free of charge (details to be added: mediator name/URL). EU online dispute resolution: ec.europa.eu/consumers/odr. VAT. Place-of-supply rules apply (B2B reverse charge with valid EU VAT number; B2C VAT by consumer location). Data. GDPR and local laws apply; you have rights of access, rectification, erasure, restriction, portability, and objection.
C-2. United Kingdom
UK GDPR/PECR and the Consumer Rights Act 2015 apply as relevant. Governing law and courts of England & Wales (non-exclusive), subject to mandatory consumer protections.
C-3. United States
Arbitration (individual). Any dispute arising out of or relating to the Services will be resolved by binding individual arbitration administered by JAMS or AAA under their rules. Class actions are waived. Small claims may proceed in small claims court. Opt-out 30 days. You may opt out of arbitration by emailing [email protected] within 30 days of accepting these Terms. Privacy. CPRA/State laws: see Privacy Policy. We do not “sell” personal information as defined by CPRA.
C-4. United Arab Emirates / Dubai
Governing law is that of the UAE. Courts of Dubai or DIFC (as specified in the SOW) have jurisdiction. UAE VAT (5%) may apply. For short-term rental concierge, Dolside Stay complies with DTCM and local permit rules; Client must maintain required licenses/permits.
C-5. Asia (Singapore model)
Governing law: Singapore; courts of Singapore (non-exclusive). PDPA (Singapore) applies to personal data; outbound transfers require comparable protection. GST applies where relevant.
